Who these terms cover
These Terms of Service govern your use of the Nest Pointe Exchange website and all customer-facing divisions operating through it, including individual merchandise sales, pallet and bulk/truckload sales, auctions, the Reseller Academy, inventory packs, and any future reseller fulfillment or reseller supply services. Division-specific policies (auctions, pallets, Academy, and others) apply in addition to these terms, and where a division-specific policy conflicts with these terms, the division-specific policy controls for that transaction.
Accounts
You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. We may suspend or close an account for non-payment, misrepresentation, abuse of promotions or auctions, or conduct that puts staff, other customers, or the business at risk.
Listings, descriptions and availability
Listings describe merchandise to the best of our knowledge at the time of publication, including condition, quantity, and any available manifest. Availability is not reserved until an order is confirmed, and an item may sell out or be withdrawn before your order completes.
Pricing and pricing errors
Prices are shown in U.S. dollars and may change at any time before an order is confirmed. If a listing contains an obvious pricing or description error, we may cancel the affected order and issue a full refund rather than honor the erroneous price. We will contact you before doing so where practical.
Orders and acceptance
Your order is an offer to purchase. A confirmed order and a successful payment authorization together form the agreement for that purchase. We may decline or cancel an order — for example for stock discrepancies, suspected fraud, or a jurisdiction we cannot ship to — and will refund amounts collected for anything we cancel.
Payment
Card payments are processed by our payment processor. Nest Pointe does not receive or store full payment-card numbers. Where a division requires an invoice, deposit, or freight confirmation before payment, that is stated on the relevant listing or policy page.
Condition and merchandise expectations
Condition labels are defined in our Condition Definitions document. Liquidation, pallet, bulk and auction merchandise is sold as-is and where-is. Retail values referenced anywhere on this site are estimates for comparison only and are not an appraisal, a resale price, or a promise of any outcome. Individual retail merchandise is covered by the Returns & Refund Policy.
Prohibited conduct
You may not interfere with the site or its security, scrape or bulk-harvest listings, manipulate bidding, create accounts to evade limits or promotion rules, or misrepresent your identity or buying intent. See the Website Acceptable Use Policy for detail.
Intellectual property
Site content, branding, curriculum, and Academy materials are owned by Nest Pointe or its licensors. Manufacturer names, product images, and marketplace names belong to their respective owners and are used only to identify merchandise. Nest Pointe is an independent business and is not endorsed by, affiliated with, or operated by any marketplace or manufacturer.
No guarantee of resale outcome
Nothing on this site is a promise of resale value, sell-through rate, income, or profit. Any figure presented as an estimated retail value, market comparison, or illustrative example is exactly that.
Disclaimer and limitation of liability
Except where a warranty is stated in writing or cannot be disclaimed by law, merchandise and services are provided without warranties of merchantability or fitness for a particular purpose. To the maximum extent permitted by law, our total liability for any claim relating to a purchase is limited to the amount you paid for that purchase, and we are not liable for lost profits or other indirect damages.
Changes to these terms
We may update these terms. The version number, effective date, and last-updated date appear at the top of this page, and prior versions are retained in our policy archive. Material changes apply to orders placed after the new effective date.
